Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Call-Analyser, an AI-powered sales call analysis platform operated by 12456206 Canada Inc. d/b/a Ante Digital ("Ante Digital," "we," "us," or "our"), available at https://call-analyzer.antedigital.com (the "Service").

By accessing or using Call-Analyser, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Description of Service

Call-Analyser is a software-as-a-service (SaaS) platform that provides AI-powered analysis of sales call transcripts. The Service includes:

  • Transcript ingestion — importing sales call transcripts from integrated platforms (Fathom, Fireflies.ai) or via webhook
  • Playbook-based evaluation — uploading and embedding sales playbooks for retrieval-augmented generation (RAG) analysis
  • AI-powered scoring and analysis — automated evaluation of sales calls against your playbook, producing scores, summaries, strengths, areas for improvement, and coaching tips
  • Notifications — delivery of analysis results via Slack, Discord, or email
  • Daily digests — periodic summary reports of call analysis activity
  • Organization management — team-based access with role-based permissions

2. Account Registration

2.1 Account Creation

To use Call-Analyser, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Complete email verification when required
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account

2.2 Organization Membership

Access to Call-Analyser features requires membership in an organization. You may create a new organization or be invited to join an existing one. Organization administrators control membership, roles, and permissions within their organization.

2.3 Account Responsibility

You are responsible for all activity that occurs under your account, whether or not you authorized that activity. We are not liable for any loss or damage arising from unauthorized use of your account.

3. Billing and Payments

3.1 Payment Processing

All payments are processed securely through Stripe. By subscribing to a paid plan or making a purchase, you agree to Stripe's Terms of Service and Privacy Policy.

3.2 Billing Models

Call-Analyser offers the following billing models, as determined by your plan:

  • One-time payment — a single payment for access to the Service
  • Per-seat pricing — recurring charges based on the number of active members in your organization
  • Flat-rate pricing — a fixed recurring charge regardless of team size

3.3 Subscription Management

For recurring subscriptions:

  • Subscriptions renew automatically at the end of each billing cycle
  • You may cancel your subscription at any time through your account settings or Stripe's customer portal
  • Cancellation takes effect at the end of the current billing period — you will retain access until then
  • We do not provide prorated refunds for partial billing periods

3.4 Refund Policy

  • One-time payments are non-refundable except where required by applicable law
  • For subscriptions, you may cancel at any time, but no refunds will be issued for the current billing period
  • If you believe a charge was made in error, please contact us at support@antedigital.com within 30 days

3.5 Price Changes

We reserve the right to change our pricing. For existing subscribers, we will provide at least 30 days' notice before any price increase takes effect. Continued use after the price change constitutes acceptance of the new pricing.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Upload or transmit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to reverse engineer, decompile, disassemble, or derive the source code of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Abuse API endpoints or webhook integrations, including exceeding rate limits (currently 10 requests per minute per organization)
  • Use automated tools to scrape, crawl, or extract data from the Service without prior written consent
  • Resell, sublicense, or redistribute the Service or any part thereof without our express written permission
  • Circumvent or disable any security or access control features of the Service

We reserve the right to suspend or terminate your access for violations of these acceptable use provisions.

5. Intellectual Property

5.1 Our Intellectual Property

Call-Analyser, including its design, code, features, documentation, and branding, is owned by Ante Digital and protected by Canadian and international intellectual property laws. These Terms do not grant you any ownership rights in the Service.

5.2 Your Content

You retain full ownership of all content you upload or submit to the Service, including:

  • Sales call transcripts
  • Playbook documents
  • Organization data and configurations

By uploading content, you grant us a limited, non-exclusive license to process, store, and analyze your content solely for the purpose of providing the Service to you. We will not use your content for any other purpose, including training AI models, without your explicit consent.

6. AI-Generated Content

6.1 Nature of Analysis

Call-Analyser uses artificial intelligence (including OpenAI embeddings and Google Gemini) to analyze your sales call transcripts against your playbook criteria. The analysis results — including scores, summaries, strengths, areas for improvement, and coaching tips — are AI-generated guidance.

6.2 No Professional Advice

AI-generated analysis results do not constitute professional advice (legal, financial, business, or otherwise). They are provided as informational tools to support your sales coaching and training efforts.

6.3 No Guarantee of Accuracy

While we strive to provide accurate and useful analysis, we do not guarantee the accuracy, completeness, or reliability of AI-generated content. AI models may produce errors, inconsistencies, or biased outputs. You should exercise your own professional judgment when acting on analysis results.

7. Third-Party Integrations

7.1 Connected Services

Call-Analyser integrates with third-party services including Fathom, Fireflies.ai, Slack, Discord, and others. Your use of these integrations is subject to the respective terms and privacy policies of those third-party services.

7.2 Integration Availability

We do not guarantee the continued availability of any third-party integration. Third-party services may change their APIs, terms, or availability at any time, which may affect the functionality of the Service.

7.3 Data from Integrations

When you connect a third-party integration, you authorize Call-Analyser to receive and process data from that integration (e.g., call transcripts synced from Fathom or Fireflies.ai) in accordance with our Privacy Policy.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in our Privacy Policy.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us at support@antedigital.com or through your account settings. Upon termination:

  • Your access to the Service will cease immediately
  • Active subscriptions will be cancelled (no refund for the current billing period)
  • Your personal data will be deleted in accordance with our Privacy Policy

9.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if:

  • You violate these Terms
  • Your use of the Service poses a security risk or may harm other users
  • We are required to do so by law
  • We discontinue the Service

9.3 Effect of Termination

Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will survive.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANTE DIGITAL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED ANALYSIS RESULTS

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • ANTE DIGITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.
  • THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ante Digital, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you upload or submit to the Service

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Alberta, located in the City of Calgary.

13.3 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us at support@antedigital.com to attempt to resolve the dispute informally. We will make reasonable efforts to resolve your concern within 30 days.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes:

  • We will provide at least 30 days' notice before the changes take effect
  • Notice will be given via email to your registered email address and/or a prominent notice within the Service
  • The revised Terms will be posted on this page with an updated "Last Updated" date

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service before the changes take effect.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ante Digital regarding your use of the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
